MUTUAL NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (the "Agreement") is entered into and made effective as of 27 August 2026(the "Effective Date"), by and between:

1. DISCLOSING PARTY: MEDIKUNJ, a next-generation Hospital Management Software brand operated under its registered entities (hereinafter referred to as the "Disclosing Party"), and

2. RECEIVING PARTY: [Full Name] acting in the capacity of a Medical Representative (MR) (hereinafter referred to as the "Receiving Party").

1. PURPOSE OF DISCLOSURE

The Disclosing Party is sharing proprietary information, including but not limited to Hospital Management Information System (HMIS) software architecture, demo environments, product pricing structures, regional clinic lists, physician relationship playbooks, and strategic software operations, to evaluate or perform business relations with the Receiving Party.

2. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" includes all information disclosed by Disclosing Party, whether written or oral, relating to software source codes, UI/UX screen design mockups, active product databases, pricing strategies, sales lead generation scripts, and administrative hospital credentials.

3. STRICT COVENANT AGAINST COMPETITOR EXPOSURE

⚠️ CRITICAL COVENANT: The Receiving Party explicitly agrees that they will not share, print, screenshot, distribute, explain, or expose any software consoles, dashboard features, clinical modules, or price lists to any competitor. Competitors include, but are not limited to, other Hospital Management Systems (HMS), Electronic Medical Record (EMR) vendors, diagnostic LIMS platforms, or doctor listing networks active in India (e.g. Practo, KareXpert, MocDoc, Clinicea, Halemind, or similar diagnostic packages).

4. TERM AND RETENTION

This Agreement and the Receiving Party's duty of confidentiality shall remain in effect for the entire duration of the Receiving Party's association with Medikunj, and shall survive for a period of five (5) years after the termination of such association.

5. CONSEQUENCES & REMEDIES OF BREACH

In the event of a breach of this Agreement, the Receiving Party understands and agrees that:

  • The Disclosing Party will suffer irreparable harm.
  • Any and all lifetime recurring commissions, affiliate incentives, or partner payouts accrued by the Receiving Party shall be forfeited immediately and permanently.
  • The Disclosing Party reserves the right to pursue full legal and monetary damages in the courts of law.

6. SIGNATURES & ELECTRONIC CONSENT

The parties declare their consent to be bound by the terms of this Agreement by executing their signatures electronically.

MUTUAL NON-DISCLOSURE AGREEMENT

Medikunj Partner Compliance Framework

This Mutual Non-Disclosure Agreement (the "Agreement") is executed and enters into effect on this 27 August 2026(the "Effective Date"), by and between the following parties:

1. DISCLOSING PARTY: MEDIKUNJ, operated by its parent entities, developers of the Next-Generation Hospital Information System (hereinafter referred to as the "Disclosing Party").
2. RECEIVING PARTY: [Full Name] acting as Medical Representative (MR) (hereinafter referred to as the "Receiving Party").

SECTION 1: DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" refers to any proprietary information disclosed by the Disclosing Party to the Receiving Party, including but not limited to: source codes, database schemas, hospital management modules, artificial intelligence prescriptions assistance logs, product design screenshots, subscription contracts, marketing playbooks, and client lists.

SECTION 2: strict restriction on competitor disclosure

The Receiving Party agrees to maintain the strictest confidence regarding all Medikunj systems and pricing structures. Under no circumstances shall the Receiving Party display, explain, screenshot, or distribute console panels, billing sheets, or software demonstrations to any direct or indirect competitor operating within the digital healthcare space, including but not limited to: Practo, KareXpert, MocDoc, Clinicea, Halemind, or other similar hospital and diagnostic lab management packages.

SECTION 3: TERM & SURVIVAL OF DUTY

The obligations under this Agreement shall commence on the Effective Date and shall remain binding for the entire duration of the Receiving Party's partnership or representation of Medikunj, and shall survive for an additional period of five (5) years after the termination of such partnership.

SECTION 4: REMEDIES, FORFEITURE & GOVERNING LAW

Any breach of this Agreement by the Receiving Party shall result in: (a) Immediate and permanent forfeiture of all accumulated commissions, monthly recurring affiliate payouts, and platform incentives; (b) Immediate termination of access to all Medikunj marketing and demo systems; (c) Legal prosecution and claims for civil and statutory damages under the jurisdiction of Indian electronic signature and contract laws.
